Terms of Service
Plus± is a subscription-based product design and frontend development studio for founders and software companies. These terms describe how the service works, what you can expect from us, and what we expect in return. They're the ground rules of a working relationship — written to be understood before you agree to them, not discovered afterwards.
In short…
- We provide subscription-based design and frontend development services.
- We work asynchronously, through a client dashboard, on a request-by-request basis.
- You own your content and your final deliverables. We keep our tools and know-how.
- Turnaround estimates are estimates — we work fast, but we don't sell false certainty.
- Your project content is encrypted; confidentiality is the default, not a favour.
- We expect the same professionalism from clients that we bring ourselves.
- Either of us can end the relationship, and these terms explain how that works cleanly.
Who these terms apply to
Plus± (PlusPlusMinus) is operated by Boom Pow Limited, a company registered in Hong Kong (company no. 3258397) with its registered address at The L. Plaza, 367 - 375 Queen's Road, Central, Sheung Wan, Hong Kong. In these terms, "we", "us", and "Plus±" mean that company; "you" means the person or company holding the subscription.
These terms apply to everyone who uses the service — the website, the client dashboard, and the design and development work we deliver. By creating an account or subscribing, you accept them. If you're accepting on behalf of a company, you're confirming you have the authority to do so.
If you don't agree with something here, tell us before subscribing. Some things are negotiable; surprises are not.
About Plus±
Plus± is a design and frontend development studio delivered as a subscription. Instead of scoping and quoting each piece of work separately, your plan gives you an ongoing stream of design and development capacity, delivered request by request through your dashboard.
A few things worth being clear about, because they shape everything else in this document:
- We work asynchronously. Requests, feedback, and delivery happen through the dashboard and in writing. We don't run on meetings, and the service is not priced to include them.
- This is a services relationship, not employment. We're an independent studio. Nothing in these terms creates an employment relationship, partnership, agency, or joint venture between us.
- This is not a traditional agency retainer. There are no hourly rates, no timesheets, and no statements of work for each request. Your subscription covers continuous access to our capacity, at the level your plan defines.
What we do — and deliberately don't do — is described on our How it works and Pricing pages. Work outside that scope isn't something we do reluctantly; it's something we don't do, because staying focused is why the work is good.
How we communicate. Plus± is designed around asynchronous collaboration. Most communication happens through the client dashboard, so work can continue without unnecessary meetings or long email threads.
Accounts
To use the service, you need an account. We ask three things of you here:
- Keep your information accurate — name, company details, and billing information. We rely on it, and invoices depend on it.
- Keep your credentials secure. You're responsible for activity that happens under your account. If you believe your account has been compromised, tell us immediately.
- Take your encryption keys seriously. Your project content is encrypted with keys generated on your device. Your credentials protect access to those keys — look after them with the care that implies.
How we handle personal information connected to your account is described in our Privacy Statement.
Our services
Work flows through a simple cycle: you submit a request through the dashboard, it enters your queue, we work on it, and we deliver it back for your review.
Requests. A request is a defined, deliverable piece of work — a page design, a component build, a flow, a fix. Larger goals are split into multiple requests. We may ask clarifying questions before accepting a request, and a request is active once we've accepted it.
The queue. Your plan determines how many requests are worked on at once; everything else waits in your queue, which you can reorder at any time. Requests are prioritised according to your subscription plan and our published service model.
Turnaround. When we accept a request, we give you an estimated timeframe based on its size and our current load. Estimates are made in good faith and we take them seriously — but they are estimates, not contractual deadlines, unless we explicitly agree a deadline in writing for a specific request. We'd rather be honest about this than sell certainty we can't guarantee.
Revisions. We revise delivered work until it's right, within the scope of the original request. A revision refines the thing we made; a new direction is a new request. We'll tell you clearly which is which before doing the work, not after.
Deliverables. Completed work is delivered through the dashboard in the formats appropriate to the request — design files, production-ready code, assets, and documentation where needed.
Scope. If a request falls outside your plan or our service scope, we'll flag it and propose options — adjusting the request, upgrading the plan, or a one-off supplement where we offer one. We may decline work that falls outside what Plus± does, and we'll always say so directly rather than doing it badly.
Plans and subscriptions
Current plans, pricing, and what each includes are set out on our Pricing page. The plan, price, and service limits shown to you when you subscribe form part of your agreement with us. If prices change, we'll tell you in advance, and changes apply from a future billing cycle — never retroactively to a period you've already paid for.
Billing cycle. Subscriptions are billed in advance — monthly, quarterly, or yearly, with discounts for longer cycles as shown on the Pricing page. Subscriptions renew automatically at the end of each cycle unless cancelled.
Changing plans. Upgrades take effect immediately; downgrades take effect at the start of your next billing cycle. Any billing adjustment is shown to you before you confirm the change.
Pausing. You can pause your subscription from the dashboard. While paused, billing stops and your queue is frozen and preserved; you can resume at any time. The details of how pausing works are described in How it works.
Winding down. If you'd rather finish cleanly than stop abruptly, you can wind down: we complete your active requests, accept nothing new, and the subscription ends when your queue is empty.
Cancelling. You can cancel at any time from the dashboard. Cancellation takes effect at the end of your current billing period, and you keep full access until then.
Payments
Timing. Payment is due at the start of each billing cycle. Work on your queue is scheduled against a paid, active subscription.
Invoices are issued for every payment and available in your dashboard.
Failed payments. If a payment fails, we'll notify you and retry. If it remains unpaid after 7 days, we may pause work on your queue and, after reasonable notice, suspend the account until payment is resolved. We'd genuinely rather send a reminder than a suspension notice — talk to us if something's gone wrong on your side.
Power-ups and add-ons are one-time charges, billed when purchased, and non-recurring unless described otherwise on the Pricing page.
Taxes. Prices exclude applicable taxes unless stated otherwise. You're responsible for any taxes your jurisdiction applies to your purchase.
Refunds. Any refund terms that apply to your plan are stated on the Pricing page and at checkout, and those stated terms are the ones that apply. Beyond any stated refund window, payments are non-refundable — but you always keep access to what you've paid for through the end of the period.
What we need from you
Good work needs good inputs. This section isn't about catching you out — it's about what makes the relationship function:
- Clear briefs. The more precisely you describe what you need, the better and faster the result. We'll ask questions when a brief is thin, but the first version of clarity has to come from you.
- Timely feedback. Async work moves at the speed of responses. If a request sits waiting on your input, its timeline moves with it.
- Approvals. Telling us something is right is as important as telling us something is wrong — delivered work we haven't heard about within 7 days may be marked complete so the queue keeps moving.
- Rights to what you give us. You confirm that content, assets, and materials you supply are yours to use, or properly licensed, and that our use of them to deliver your work won't infringe anyone's rights.
- Respectful communication. We work with professionals and extend professionalism in return. Abusive or degrading treatment of the people doing your work is the one thing that ends a relationship quickly — see Suspension and termination.
Intellectual property
We've kept this section as plain as we can, because it's the one clients care about most.
You own:
- Your original content and everything you upload.
- Your brand, your product, and your materials — supplying them to us transfers nothing.
- Final deliverables we create for you, once they're paid for. On payment, we assign to you the rights in the deliverables themselves.
We own:
- Our internal tools, frameworks, and processes.
- Reusable components, patterns, and libraries we've developed before or outside your engagement.
- Our general skills, techniques, and know-how — including what we learn while working on your requests.
Where a deliverable includes our pre-existing components or open-source software, you receive a broad licence to use them as part of your deliverable, and open-source elements remain under their own licences. Nothing in these terms transfers ownership of our trademarks, brand, company name, or logos — or of yours to us.
One thing we want to be upfront about: generic techniques and approaches developed while solving your problem may inform work elsewhere. What we will never reuse is your material — your content, your designs, your product thinking. The craft compounds; the confidential stays confidential.
One more thing, stated as a promise rather than a right we reserve: we won't publicly identify you or display your work as a case study, portfolio piece, or promotional material without your permission.
Confidentiality
Both of us will treat the other's confidential information with the care it deserves — using it only for the working relationship, and not disclosing it except where required by law.
For your material, this is reinforced by architecture, not just promises: project content is encrypted before it reaches our infrastructure, and access to decrypted content is limited to the people doing your work. Our Privacy Statement and Security page explain how.
Confidentiality survives the end of the subscription. Ending the relationship ends the work, not the discretion.
Acceptable use
We'll keep this practical. Using Plus±, you must not:
- Upload or ask us to work with material that is illegal, or that you don't have the right to use.
- Attempt to gain unauthorised access to the platform, other clients' data, or our infrastructure.
- Interfere with or disrupt the service, or probe it for vulnerabilities without our written agreement.
- Use the platform or our communication channels to harass, deceive, or harm others.
- Resell or white-label the service itself without an agreement that covers it. If you're an agency looking to build on Plus± for your own clients, talk to us — that's a conversation we're happy to have.
If something you want to do sits near one of these lines, ask first. The honest question is always fine; the workaround isn't.
Availability
We work hard to keep the platform available, and we build on infrastructure chosen for reliability. Honesty requires saying the rest plainly: no online service can promise uninterrupted availability, and we don't.
Occasionally the platform will be briefly unavailable — for maintenance, which we'll schedule considerately, or for reasons outside our control. We keep encrypted backups, and an interruption to the dashboard doesn't interrupt the work itself: your requests, queue, and history are preserved.
If we ever expect meaningful disruption, we'll tell you before you have to ask.
Limitation of liability
This section exists in every service agreement; ours is just written to be readable.
- We're liable for doing our work with reasonable skill and care. If we get something wrong, our first response is to fix it — that's both the promise and, in most cases, the remedy.
- Except where expressly stated in these terms, the service is provided "as is" and "as available."
- We're not liable for indirect or consequential losses — lost profits, lost revenue, lost data caused by factors outside our control, or losses arising from how you use the deliverables in your business.
- Our total liability under these terms is capped at the amount you've paid us in the 3 months before the event giving rise to the claim.
- Nothing in these terms excludes liability that cannot legally be excluded — including for fraud, or for death or personal injury caused by negligence.
Suspension and termination
You can leave at any time — by cancelling (effective at the end of your billing period) or winding down (effective when your queue empties), as described in Plans and subscriptions.
We may suspend an account if payment has failed and remained unresolved after notice, if these terms are being materially breached, or if continued service would create a legal or security risk. Where reasonably possible, we'll always try to resolve issues before suspending or terminating an account. Suspension is a pause, not a punishment — we'll tell you why, and what resolves it.
We may terminate a subscription with 30 days' notice, or immediately in serious cases: unlawful use, attempts to compromise the platform, or abusive treatment of our people. We don't take that step lightly, and we've written What we need from you so it never has to happen.
What happens afterwards. When a subscription ends, for any reason:
- Access continues until the end of any period you've paid for (except in cases of immediate termination for serious breach).
- Your data remains exportable for 90 days after the subscription ends, after which it is permanently deleted — as described in the Privacy Statement.
- Outstanding invoices remain payable, and completed, paid-for deliverables remain yours.
- Sections that by their nature should survive — intellectual property, confidentiality, and limitation of liability — survive.
Changes to these terms
When we make material changes, we'll notify active clients by email at least 30 days before they take effect, and update the dates at the top of this page. Continued use of the service after a change takes effect means you accept the updated terms. If you don't, you can cancel before the change applies — and previous versions are available on request.
We won't use this section to change the deal quietly. Material means material.
Governing law
These terms are governed by the laws of Hong Kong, where Boom Pow Limited is incorporated, and the courts of Hong Kong have jurisdiction over disputes arising from or connected with them — contractual or otherwise.
Before it ever gets that far: if there's a problem, talk to us. Almost everything is solvable at the level of two professionals working it out, and that's always our preference — we'll always attempt to resolve a dispute in good faith before formal proceedings.
